Agreement to Terms
By accessing or using QLink-Pay ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Service.

1. Service Description
1.1 What QLink-Pay Does
QLink-Pay is a B2B SaaS platform that:
- Integrates with QuickBooks Online via OAuth 2.0
- Generates and sends customer statements automatically
- Processes payments through Stripe Connect
- Syncs payment data back to QuickBooks
- Provides payment portal for your customers
- Automates accounts receivable processes
1.2 What QLink-Pay Does NOT Do
We do NOT:
- Provide accounting or bookkeeping services
- Offer tax advice or financial consulting
- Access or store your QuickBooks login credentials
- Modify your QuickBooks data without authorization
- Guarantee specific collection rates or outcomes
- Provide legal advice
1.3 Service Availability
We strive to maintain 99% uptime but:
- Service may be temporarily unavailable for maintenance
- We may suspend service for security reasons
- Third-party dependencies (QuickBooks, Stripe) may affect availability
- We provide advance notice of planned maintenance when possible
2. Account Registration and Eligibility
2.1 Eligibility Requirements
To use QLink-Pay, you must:
- Be at least 18 years of age
- Have legal authority to bind your business to these Terms
- Operate a legitimate business (no illegal activities)
- Have an active QuickBooks Online subscription
- Provide accurate and complete registration information
- Maintain the security of your account credentials
2.2 Account Creation
When creating an account, you must:
- Provide accurate business information
- Use a valid business email address
- Create a secure password
- Maintain current contact information
- Notify us immediately of any unauthorized access
2.3 Account Responsibility
You are responsible for:
- All activity that occurs under your account
- Maintaining the confidentiality of your password
- Notifying us immediately of any security breach
- Compliance with all applicable laws and regulations
- Your employees' or team members' use of the Service
2.4 Account Termination
We may suspend or terminate your account if:
- You violate these Terms
- Your payment method fails repeatedly
- You engage in fraudulent activity
- You abuse or misuse the Service
- Required by law or court order
- Your QuickBooks subscription is cancelled
3. Payment Terms
3.1 Pricing and Billing
Transaction-Based Pricing:
- Application Fee: 3.5% of each payment processed
- Minimum Transaction Fee: $2.50 per transaction
- Charged automatically when payments are processed
- No monthly subscription fees
What's Included:
- Unlimited customer statements
- Unlimited statement sending
- Email delivery via Resend
- Payment portal access
- QuickBooks data synchronization
- Customer support
What's NOT Included:
- Stripe payment processing fees (2.9% + $0.30, charged by Stripe)
- QuickBooks Online subscription (separate billing)
- Custom integrations or development
- Premium support or consulting
3.2 Payment Processing
How It Works:
- Your customer pays invoice amount via QLink-Pay portal
- Stripe processes payment and collects their fee (2.9% + $0.30)
- QLink-Pay collects application fee (3.5% of invoice amount)
- Remaining amount transferred to your Stripe account
- Payment recorded in QuickBooks automatically
Example:
Customer pays: $1,000.00
Stripe fee: -$29.30 (2.9% + $0.30)
QLink-Pay fee: -$35.00 (3.5%)
You receive: $935.70
3.3 Refunds and Chargebacks
Our Policy:
- Application fees are non-refundable
- You are responsible for customer refunds through Stripe
- Chargebacks are handled according to Stripe's policies
- You remain liable for all chargeback costs
- We may suspend service if chargeback rate exceeds 1%
Processing Refunds:
- Process refunds directly through your Stripe dashboard
- Or contact us for assistance
- Application fees are not refunded when you refund customers
- Stripe processing fees follow Stripe's refund policy
3.4 Failed Payments
If a payment transaction fails:
- We will notify you via email
- Customer will be notified of failure
- No application fee charged for failed transactions
- You remain responsible for collecting payment
3.5 Fee Changes
We may change our fees:
- With 30 days advance notice via email
- Posted prominently in your account dashboard
- For existing transactions, old rates apply
- New rates apply to transactions after the change date
- You may cancel service if you disagree with new fees
4. QuickBooks Integration
4.1 Authorization and Access
What You Authorize:
By connecting QuickBooks, you authorize us to:
- Read company information (name, address, contact details)
- Read customer records (names, emails, balances)
- Read invoice data (numbers, amounts, dates, line items)
- Read payment records (amounts, dates, methods)
- Create payment records when customers pay
- Update customer information as needed
What We Do NOT Access:
- Your QuickBooks login credentials
- Banking or credit card information stored in QuickBooks
- Tax returns or sensitive financial documents
- Employee payroll information
- Vendor or supplier data (unless explicitly authorized)
4.2 Data Synchronization
Sync Frequency:
- Manual sync: On-demand via dashboard
- Automatic sync: Configurable (default: daily)
- Real-time payment sync: When customer pays
- Statement generation: On-demand
Your Responsibilities:
- Maintain accurate data in QuickBooks
- Keep QuickBooks subscription active
- Reauthorize OAuth connection as required (typically every 6 months)
- Notify us of any data discrepancies
Our Responsibilities:
- Sync data accurately according to your authorization
- Notify you of sync errors or failures
- Maintain secure connection via OAuth 2.0
- Respect QuickBooks API rate limits
4.3 OAuth Token Management
How It Works:
- We use OAuth 2.0 (no password storage)
- Tokens refresh automatically every 100 days
- You can revoke access anytime via QuickBooks or QLink-Pay
- We store tokens encrypted in secure database
- Tokens are deleted when you disconnect
If Connection Expires:
- We notify you via email
- Reconnect via dashboard with one click
- No data is lost during disconnection
5. Stripe Payment Integration
5.1 Stripe Connect Requirements
To process payments, you must:
- Create or connect a Stripe account
- Complete Stripe's verification process
- Agree to Stripe's Terms of Service
- Maintain compliance with Stripe's policies
- Keep your Stripe account in good standing
5.2 Payment Processing Terms
Stripe's Role:
- Stripe processes all credit card payments
- Stripe handles PCI compliance
- Stripe manages payment security
- Stripe sets processing fees (separate from our fees)

Your Responsibilities:
- Provide accurate product/service descriptions
- Fulfill orders and services as promised
- Handle customer disputes professionally
- Respond to chargebacks promptly
- Maintain acceptable dispute/chargeback rates
5.3 Express Account Structure
We use Stripe Express accounts:
- Simplified onboarding process
- We facilitate payment collection on your behalf
- You maintain full control of your Stripe account
- You can access Stripe dashboard directly
- You set your own payout schedule in Stripe
6. User Responsibilities and Conduct
6.1 Acceptable Use
You agree to:
- Use the Service for lawful purposes only
- Provide accurate information to customers
- Honor your agreements with customers
- Maintain professional business practices
- Comply with all applicable laws and regulations
- Respect intellectual property rights
6.2 Prohibited Activities
You may NOT:
- Use the Service for fraudulent purposes
- Process payments for illegal goods or services
- Send spam or unsolicited communications
- Harass or abuse customers or our support team
- Attempt to hack, breach, or compromise the Service
- Reverse engineer or copy our software
- Resell or redistribute the Service without authorization
- Use the Service to compete with us
- Violate any laws or regulations
6.3 Content Responsibility
You are solely responsible for:
- Customer data you upload or sync
- Statement content and accuracy
- Communications sent to customers
- Invoice descriptions and amounts
- Any disputes with customers
- Compliance with consumer protection laws
7. Intellectual Property
7.1 Our Intellectual Property
We Own:
- QLink-Pay software, platform, and code
- QLink-Pay trademarks, logos, and branding
- All documentation and materials we provide
- Improvements and updates to the Service
- Aggregate and anonymized usage data
You May NOT:
- Copy, modify, or reverse engineer our software
- Use our trademarks without written permission
- Claim ownership of our intellectual property
- Remove or alter any proprietary notices
7.2 Your Intellectual Property
You Own:
- Your business data and customer information
- Your company name, logo, and branding
- Content you create or upload
- Your QuickBooks data
You Grant Us License To:
- Store and process your data to provide the Service
- Display your company information on statements
- Use your data for Service improvement (aggregated/anonymized)
- Back up your data for disaster recovery
7.3 Feedback and Suggestions
If you provide feedback, suggestions, or ideas:
- We may use them without obligation or compensation
- You waive any intellectual property rights in the feedback
- We are not required to implement your suggestions
- This does not grant us rights to your proprietary information
8. Data Privacy and Security
8.1 Privacy Policy
Our data practices are governed by our Privacy Policy, which is incorporated into these Terms by reference.

- We use industry-standard encryption
- We do not sell your data
- We comply with GDPR, CCPA, and SOC 2 standards

8.2 Data Security

8.3 Data Breach Notification
If a data breach occurs:

- We will notify you as required by law

9. Service Limitations and Disclaimers
9.1 "AS IS" Service Provision
THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:
- Warranties of merchantability
- Fitness for a particular purpose
- Non-infringement
- Uninterrupted or error-free operation
- Complete accuracy of data
- Specific collection results
9.2 Third-Party Dependencies
We rely on third-party services:
- QuickBooks - for accounting data access
- Stripe - for payment processing
- Supabase - for data storage
- Resend - for email delivery
- Digital Ocean - for hosting
We are not responsible for:
- Outages or issues with these services
- Changes to their terms or pricing
- Their data privacy or security practices
- Their customer support or lack thereof
9.3 Service Limitations
We do NOT guarantee:
- 100% uptime or availability
- Specific payment collection rates
- Compatibility with all browsers or devices
- Error-free data synchronization
- Immediate customer support response
- Specific features or functionality
9.4 Beta Features
Some features may be labeled "Beta":
- Beta features are experimental
- May not work as expected
- May be changed or removed without notice
- Use at your own risk
- No warranties apply to Beta features
10. Limitation of Liability
10.1 Damages Exclusion
TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE ARE NOT LIABLE FOR:
- Indirect, incidental, or consequential damages
- Lost profits or revenue
- Lost data or business opportunities
- Damage to reputation or goodwill
- Third-party claims against you
- Costs of substitute services
- Any damages exceeding fees paid to us in the last 12 months
10.2 Maximum Liability
Our total liability to you for all claims shall not exceed the greater of:
- $100 USD, OR
- The total fees you paid to us in the 12 months before the claim
10.3 Exceptions
These limitations do NOT apply to:
- Our gross negligence or willful misconduct
- Violations of applicable law
- Personal injury or property damage caused by us
- Anything that cannot be limited by law
11. Indemnification
11.1 Your Indemnification
You agree to indemnify, defend, and hold us harmless from claims arising from:
- Your violation of these Terms
- Your violation of any law or regulation
- Your violation of any third-party rights
- Your use or misuse of the Service
- Your customer disputes or chargebacks
- Content you provide or send through the Service
- Your employees' or team members' actions
11.2 Indemnification Process
If a claim arises:
- We will notify you promptly
- You will cooperate with our defense
- We may participate in defense at our expense
- You may not settle without our consent
- We may assume defense if you fail to respond
12. Term and Termination
12.1 Term
These Terms begin when you create an account and continue until terminated by either party.
12.2 Termination by You
You may terminate anytime by:
- Closing your account in settings
- Sending written notice to [email protected]
- Disconnecting QuickBooks and Stripe integrations
Effect of Termination:
- Access to Service ends immediately
- No refund of application fees
- We may retain data for legal requirements (7 years for transactions)
- You may request data export before termination
- Outstanding fees remain due
12.3 Termination by Us
We may terminate or suspend your account:
- Immediately for Terms violations
- With 30 days notice for convenience
- Immediately for non-payment
- Immediately for fraudulent activity
- Immediately for illegal use
- As required by law or court order
12.4 Effect of Termination
Upon termination:
- Your access to the Service ends
- We will process pending payments
- Outstanding fees become immediately due
- We may delete your data after 30 days (except legal holds)
- Provisions that should survive termination will survive

13. Dispute Resolution
13.1 Informal Resolution
Before filing a claim:

13.2 Arbitration Agreement

Any disputes that cannot be resolved informally will be resolved by binding arbitration:

- Conducted under AAA Commercial Arbitration Rules
- One arbitrator selected per AAA rules

13.3 Class Action Waiver

- Federal law applies where applicable

- Governed by laws of United States / Wyoming
- Subject to local mandatory consumer protection laws
13.5 Venue
If arbitration does not apply:
- Exclusive jurisdiction: Courts of Wyoming
- You consent to personal jurisdiction there
- You waive objections to venue or forum
14. General Provisions
14.1 Entire Agreement
These Terms, together with our Privacy Policy, constitute the entire agreement between you and QLink-Pay and supersede all prior agreements, whether written or oral.
14.2 Amendments
We may modify these Terms:
- With 30 days advance notice
- Posted in your account dashboard
- Sent via email to your registered address
- Continued use after changes constitutes acceptance
- Material changes require your explicit consent
14.3 Waiver
Our failure to enforce any provision does not waive our right to enforce it later. Any waiver must be in writing and signed by an authorized representative.
14.4 Severability
If any provision is found invalid or unenforceable:
- It will be modified to be valid and enforceable
- If modification is impossible, it will be severed
- Remaining provisions remain in full effect
14.5 Assignment
You may NOT assign or transfer these Terms without our written consent. We may assign our rights and obligations to:
- Our affiliates or subsidiaries
- A successor in a merger or acquisition
- Any party with advance notice to you
14.6 Force Majeure
We are not liable for delays or failures due to:
- Acts of God (natural disasters)
- War, terrorism, or civil unrest
- Government actions or regulations
- Internet or telecommunications failures
- Third-party service failures
- Other events beyond our reasonable control
14.7 No Agency
These Terms do not create:
- Partnership or joint venture
- Employment or agency relationship
- Franchise or distributor relationship
- Fiduciary duty between parties
14.8 Notices
To You:
We will send notices to your registered email address. You are responsible for keeping this current.

These Terms are written in English. If translated, the English version prevails in any conflict.
